Hereinafter referred to as the "Seller" or "Biocyte".

GENERAL PROVISIONS
These General Terms and Conditions of Sale (hereinafter the "GTC") define the terms and conditions for the sale of products offered on the website www.biocyte.com (hereinafter the "Products") to any end consumer, defined as any natural person of legal age who is not acting as a business and who has the legal capacity to contract, for deliveries within mainland France (including Corsica), Monaco, the French overseas departments and territories (DROM-COM), and Europe, as listed on the Website (hereinafter the "Customer(s)").
Orders placed by professionals will not be honored by the Seller, who reserves the right to cancel any Order deemed abnormal, such as those involving quantities exceeding typical consumer needs or unusual order patterns to a single billing and/or delivery address.
The GTC govern orders placed between the Seller and its Customers via the website www.biocyte.com (the "Website") (hereinafter the "Orders").
The GTC are available on a dedicated page of the Website and are also presented during the Order process.
Placing an Order for Products with the Seller implies the Customer’s full, unreserved acceptance of the current GTC, which constitute a substantial and decisive condition of sale. The applicable GTC will be those in effect at the time the Order is placed. The Seller reserves the right to amend the GTC at any time.

THE PRODUCTS
2.1. PRODUCT CHARACTERISTICS
The Products offered for sale are those shown on the Website on the date the Customer views it, subject to availability.
The Products are formulated at physiological doses and are concentrated sources of nutrients or other substances with nutritional or physiological effects, either individually or in combination. They are not intended to replace a varied and balanced diet.
Products do not replace medical treatment and are not intended to prevent or cure diseases. Customers must consult a physician for any actual or suspected health issues.
Customers are solely responsible for selecting Products and ensuring their suitability for their needs. The Seller shall not be held liable in this regard.
Each Product has a descriptive sheet outlining its essential characteristics and price. Customers must read this information carefully before placing an Order, especially any allergen content.
Due to technical limitations, the actual appearance of Products may differ from the photos displayed on the Website.
Products are designed, formulated, and manufactured according to strict quality standards. They comply with current French and European laws and regulations. Customers are responsible for verifying any import or usage restrictions applicable in their country. The Seller shall not be held liable for the purchase of Products considered as prescription medication in a specific country, while being freely sold in France.
2.2. PRODUCT AVAILABILITY
Sales are subject to the availability of Products.
If a Product becomes temporarily unavailable between Order confirmation and parcel preparation, the Customer will be notified and charged the full Order amount; partial delivery may occur, with subsequent deliveries for the remaining Products.
If a Product is definitively unavailable and payment was already processed, the Seller will notify the Customer and refund the corresponding amount. If no payment has been made, unavailability will be communicated at the time of billing.
Apart from refunding the unavailable Product’s value, no further compensation will be due.

PRODUCT PRICES
Product prices are shown in Euros including all applicable taxes (TTC) but excluding shipping and handling fees.
Shipping costs and delivery times will be specified before Order confirmation.
Prices include VAT at the rate in effect on the Order date. Any VAT rate change will be automatically reflected in the Product prices.
Prices applicable to an Order are those in effect on the Order date and may vary throughout the year.
If a Product is mistakenly priced significantly below its actual value, the Seller reserves the right to cancel the Order.

ORDER PLACEMENT
The Customer is responsible for providing accurate and complete information when creating an account or placing an Order. Any updates to personal details must be communicated to the Seller. The Seller cannot be held liable for delays or non-delivery resulting from outdated or incorrect information.
4.1. ORDERING VIA THE WEBSITE
To place an Order on the Website, Customers must follow the Seller’s step-by-step process.
After selecting a Product and quantity, Customers click "Add to cart". The cart can be updated at any time. Once finalized, Customers click "Checkout".
Before confirming the Order, Customers can review and modify their cart. Once validated, they must enter their email, delivery address, select the delivery method and payment details, and click "Pay now".
The Seller’s records constitute proof of all Website transactions. The payment provider’s records serve as proof of financial transactions.
Once payment is confirmed, an Order confirmation email is sent to the Customer.
A confirmed Order is final (except in cases of withdrawal as per GTC). Additional Products require a new Order.
4.2. PAYMENT METHODS
Accepted payment methods on the Website:

Bank cards (Visa, Eurocard, MasterCard, Carte Bleue). Card will be debited within 7 working days following Order confirmation;

PayPal, per the Customer’s PayPal settings;

Bank deposit or wire transfer.
For deliveries outside France, only credit card payments are accepted. Cards will be debited within 7 working days of Order confirmation.
4.3. CARD PAYMENT SECURITY
Card payments are fully secured via encrypted transmission (SSL protocol) directly to our banking partner. The Seller does not store any payment data.
4.4. RETENTION OF TITLE
Products remain the property of the Seller until full payment is received.

DELIVERY
5.1. DELIVERY LOCATIONS
Products are delivered to the address provided at checkout, in mainland France (including Corsica), Monaco, DROM-COM, and Europe. Customers must ensure accuracy and completeness of delivery details.
Each Order is delivered once. Customers must be present at the delivery address. If absent, they must retrieve their package at the indicated location within the specified timeframe.
5.2. DELIVERY TIMES AND FEES
5.2.1. Delivery times
Delivery times vary by destination and shipping method and include Order processing and shipping.
A phone number is required to assist the courier.
In case of delay (exceeding stated or 30-day maximum delivery time), Customers must notify Customer Service promptly. An investigation with the courier will be initiated.
If the Order is located, it will be resent. If lost, a refund or replacement will be issued within 14 days of Order cancellation.
The Seller is not liable for delays caused by postal services, Customer fault, third-party actions, or force majeure.
5.2.2. Shipping fees and additional costs
Shipping fees are shown on the Website at checkout. Customs and other import fees are the Customer’s sole responsibility.
5.3. DAMAGES OR DELIVERY ISSUES
Delivery is deemed complete upon the courier making the package available to the Customer. Customers must inspect items immediately upon receipt.
The risk of loss or damage transfers to the Customer upon delivery.
Any issues (late delivery, missing or damaged Product) must be noted on the delivery slip and confirmed to the courier within 10 days. Notify the Seller’s Customer Service as well.
In cases of justified claims, the Seller will replace damaged Products at no extra cost. In the case of abuse or unfounded claims, the Seller may refuse replacement or refund.

RIGHT OF WITHDRAWAL
Customers may withdraw from the purchase within 14 days of receiving the Order, without giving any reason. For Orders with multiple deliveries, the withdrawal period starts upon receipt of the last Product.
Withdrawal must be exercised using the form in Annex 1 or any clear statement of intent. The burden of proof lies with the Customer.
Products must be returned (including gifts), without undue delay, and at the latest within 14 days of notification of withdrawal, at the Customer’s expense, to:

Returned Products must be unopened and in perfect condition.
If all conditions are met, the Seller will refund the Customer within 14 days of receiving the returned Product(s).
If the entire Order is returned, the full amount including standard shipping fees will be refunded (excluding extra charges for non-standard shipping). If only part of the Order is returned, only the returned Product(s) and proportional shipping costs will be refunded.

LEGAL WARRANTIES
Under French law, Products are covered by statutory warranties of conformity (Consumer Code, articles L. 217-3 and following) and hidden defects (Civil Code, articles 1641 and following).
Customers have two years from delivery to invoke the warranty of conformity. Only the existence of a defect needs to be proven.
Customers are entitled to repair or replacement within 30 days. A repaired item carries a 6-month extension to the initial warranty. If replaced, a new 2-year warranty applies.
A price reduction or full refund is available if:

The Seller refuses repair or replacement;

It takes more than 30 days;

It causes major inconvenience;

The defect persists despite attempted corrections.
Customers may also demand an immediate price reduction or termination of the contract if the defect is serious.
The warranty period is suspended during any repair or replacement.
Violation of this law can result in civil fines of up to €300,000 or 10% of annual revenue.
The hidden defect warranty applies for two years from discovery.
The Seller is not liable for issues arising from improper use.
Unless expressly stated, no commercial warranty applies (Consumer Code, art. L. 217-21).

INTELLECTUAL PROPERTY & HYPERLINKS
All content on the Website—including downloadable files, brands, graphics, logos, photos, texts, videos—is the exclusive property of the Seller and protected by intellectual property laws.
These GTC grant no intellectual property rights to the Customer. Reproduction or modification of any content is prohibited without prior written consent.
Violation may result in legal action and penalties under French IP law (articles L. 335-2 and following).
Content may only be used for private, non-commercial purposes.
The Seller is not liable for third-party services or sales via external links or banners on the Website.

LIABILITY
Products comply with applicable French law.
The Seller is liable only for direct damage resulting from non-compliance with the GTC. It is not liable for force majeure or Customer fault.

FORCE MAJEURE
In case of force majeure (as defined by French courts), neither party is liable for failure to perform. Order execution will be suspended initially. If the situation persists beyond one month, the Order may be cancelled with refund.

PERSONAL DATA
Personal data may be collected during the Order process. For full details, refer to our Privacy Policy on the Website.

APPLICABLE LAW – DISPUTE RESOLUTION
These GTC and any related contracts are governed by French law.
